Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Rama Techworks ("we", "us", "our"), governing your access to and use of the AI Calling Agent platform at aicallingagent.in and any associated services.

By requesting a demo, signing a service agreement, or using our platform, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our services.

2. Services Provided

Rama Techworks provides AI-powered voice calling automation services including but not limited to:

  • Outbound and inbound AI calling agent deployment.
  • Lead qualification, follow-up, and appointment booking automation.
  • CRM integration and call transcript delivery.
  • Custom script development and agent training.
  • Ongoing monitoring, optimisation, and support.

The specific scope of services, pricing, and SLAs applicable to your engagement will be defined in a separate Service Agreement or Statement of Work ("SOW") executed between the parties.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate business information, call scripts, and lead data required to deliver the service.
  • Ensure you have obtained all necessary consents from individuals who will be contacted by the AI calling agent, in compliance with the Telecom Commercial Communications Customer Preference Regulations (TCCCPR) and applicable Indian laws.
  • Not use the platform to make unsolicited calls to individuals on the Do Not Disturb (DND) registry without their prior consent.
  • Not use the platform for any unlawful, fraudulent, or deceptive purpose.
  • Maintain the confidentiality of any credentials or API keys provided by Rama Techworks.

4. Acceptable Use

You must not use our platform to:

  • Violate any applicable Indian or international law or regulation.
  • Harass, threaten, or deceive individuals contacted via the platform.
  • Transmit spam, malware, or any harmful content.
  • Attempt to reverse-engineer, copy, or replicate our AI models or platform technology.
  • Resell or sublicense access to the platform without prior written consent.

We reserve the right to suspend or terminate your access immediately if we determine a breach of acceptable use, with or without prior notice.

5. Intellectual Property

All technology, software, AI models, scripts, and platform interfaces provided by Rama Techworks are and remain the exclusive intellectual property of Rama Techworks. These Terms do not grant you any ownership rights.

Any custom scripts, call flows, or configurations developed specifically for your business remain your property, subject to any provisions in your SOW.

6. Payment Terms

Payment terms, pricing, and invoicing schedules are defined in your SOW. Unless otherwise agreed:

  • Invoices are due within 15 days of the invoice date.
  • Late payments may attract interest at 1.5% per month.
  • We reserve the right to suspend services for accounts more than 30 days overdue.

7. Confidentiality

Both parties agree to treat each other's business information, data, and technical details as confidential and not disclose them to third parties without prior written consent. This obligation survives termination of these Terms for a period of 3 years.

8. Limitation of Liability

To the maximum extent permitted by Indian law, Rama Techworks shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform, including lost revenue, lost leads, or data loss.

Our total aggregate liability for any claim under these Terms shall not exceed the total fees paid by you in the 3 months preceding the claim.

9. Disclaimer of Warranties

The platform is provided "as is". While we strive for high availability and accuracy, we do not warrant that the AI calling agent will achieve specific conversion rates, lead outcomes, or uninterrupted uptime. Results may vary based on your industry, target audience, and call quality.

10. Term and Termination

These Terms remain in effect for the duration of your service engagement. Either party may terminate the agreement with 30 days' written notice, subject to the terms of any active SOW. We may terminate immediately for material breach, non-payment, or violation of acceptable use policies.

Upon termination, your access to the platform will cease and your data will be handled per our Privacy Policy.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in India.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on our website at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
